These Terms of Service (“Terms”) constitute an agreement between you (“Client”) and SkyeZone (“Designer,” “we,” “us,” “our”). By commissioning us for web design services, you agree to comply with and be bound by these Terms.
1. Scope of Services
We specialize in providing high-end web design and development services, focusing on:
Website Templates: Pre-designed, customizable websites available for rental or purchase.
Custom Website Design: Tailored design solutions based on Client specifications, including unique functionalities and layouts.
All services are subject to the terms outlined herein.
2. Ownership and Intellectual Property Rights
Design Ownership: All website templates and custom designs created by SkyeZone remain our intellectual property until full payment is received. Upon full payment, Clients receive a license to use the template or design as specified in these Terms.
Attribution: Clients agree to credit SkyeZone on all platforms where the website is showcased, including social media, portfolio sites, and promotional materials.
3. Confidentiality
Both parties agree to maintain confidentiality regarding any sensitive or proprietary information exchanged during the course of the project. This obligation extends indefinitely, even after the completion of the project. We commit to protecting your data in compliance with applicable data protection regulations.
4. Website Templates
Rental Agreement: Clients can rent website templates for a one-time setup payment, which allows them to add their information to the website. This is followed by a monthly fee to maintain the site and add additional content, beginning after the website is live. Renters may purchase the source code at any time after the website is set up, allowing them to host it independently if desired.
Purchasing Templates: Clients can opt to buy a website template, which includes the setup of their information on the site. This is a one-time payment that covers the setup and customization, after which the source code will be provided for independent hosting.
5. Custom Website Design
Custom Design Services: Clients may commission custom web design services at a higher price point than templates. The total cost will be agreed upon before work begins and will consider the complexity of the design and functionalities requested.
Payment Structure:
A non-refundable deposit is required to initiate the project.
Payment milestones will be established based on project phases (e.g., initial concept, design approval, final delivery).
Monthly Hosting Fees: After the custom website goes live, the Client must pay a monthly hosting fee, determined by the size and complexity of the website.
Custom Buy Option: Clients have the option to purchase the code for their custom website at a specified buy price, allowing them to host and modify it independently.
Termination of Service: Clients can terminate the custom design service upon written notice. However, all payments made up to the termination date are non-refundable, and access to the website will be revoked upon cancellation.
6. Payment Terms
Agreed Pricing: Prices are agreed upon before the project starts and are not fixed on the website. Clients have two payment options for templates and custom designs:
Rental Agreement: Clients can rent website templates for a one-time setup payment, which allows them to add their information. This is followed by a monthly fee to maintain the site and add additional content, beginning after the website is live. Renters may purchase the source code at any time after setup, allowing them to host it independently if desired.
Purchase Agreement: Clients can opt to buy a website template, which includes the setup of their information on the site. This is a one-time payment that covers the setup and customization, after which I will provide the source code for independent hosting.
Payment Methods: Payments can be made via PayPal. Clients are responsible for ensuring timely payments.
Late Payments: Late payments may result in suspension of services until the account is brought up to date. Clients will be notified of any overdue balances.
7. Refund Policy
Due to the nature of our services, refunds are limited:
Rentals: The rental fee is non-refundable once the website has been set up.
Purchases: All buy transactions are final, with no refunds offered once the code has been delivered.
Custom Design Projects: Deposits are non-refundable. Refunds for custom design projects may be considered on a case-by-case basis, at our discretion.
Client Satisfaction: We strive for Client satisfaction and will work collaboratively to address any concerns during the project. However, dissatisfaction after project completion does not constitute grounds for a refund.
8. Project Timeline and Client Responsibilities
Project Timelines: Timelines for template rentals and custom designs will be communicated at the project’s outset. Clients are responsible for providing timely feedback and necessary materials to ensure project deadlines are met.
Client Feedback: Clients must provide feedback within a reasonable timeframe. Delays in Client responses may result in project postponement or additional charges for extended timelines.
Responsibility for Content: Clients are responsible for providing all content (text, images, etc.) in a timely manner. We are not liable for delays caused by late or incomplete content submission.
9. Communication
Communication Channels: All communication will occur through agreed-upon channels (email, messaging apps, etc.). We aim to respond to inquiries within three business days. Clients are encouraged to communicate changes or concerns promptly to avoid project disruptions.
Regular Updates: Clients will receive regular updates on the progress of their project. We encourage open communication to ensure that all Client needs are met throughout the project lifecycle.
10. Hosting and Maintenance
Hosting Services: All rented templates and custom websites will be hosted on our servers. Clients may not move or replicate hosted websites on other platforms unless the buy option is exercised.
Monthly Hosting Fees: Clients will be billed monthly for hosting services, with fees varying based on the site size and resource requirements.
Service Suspension: Non-payment of hosting fees within seven days of the due date may result in service suspension or termination. Clients will receive notice prior to any service suspension.
11. Client Usage and Credit
Authorized Use: Clients may use the final deliverables for their intended purposes. Any unauthorized use, reproduction, or distribution is strictly prohibited.
Attribution Requirement: Clients agree to credit SkyeZone on the website and any promotional materials related to the project.
Social Media and Portfolio Use: We reserve the right to showcase completed projects in our portfolio and on social media platforms for promotional purposes.
12. Restrictions
Prohibited Uses: Clients are prohibited from using our work for NFTs or AI applications without explicit written permission. Violation of this restriction will result in immediate termination of services and potential legal action.
Modification of Code: Clients may not modify or attempt to modify the source code of rented templates unless they have purchased the code.
13. Changes to Terms
We reserve the right to modify these Terms at our discretion. Any changes will be communicated to active Clients, and continued use of our services indicates acceptance of the revised Terms.
14. Dispute Resolution and Blacklisting
Dispute Resolution: In the event of a dispute, both parties agree to seek resolution through direct communication. Should a resolution not be reached, mediation or arbitration may be pursued, as mutually agreed.
Blacklisting Policy: Clients who violate these Terms may be subject to blacklisting, preventing future engagements with SkyeZone. This includes but is not limited to failure to pay invoices, unauthorized use of designs, or failure to comply with the agreed terms.
15. Limitation of Liability
In no event shall SkyeZone be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the website or services provided. The maximum liability shall not exceed the total amount paid by the Client for the services rendered.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Your State/Country]. Any disputes arising under or related to these Terms shall be resolved in accordance with the governing laws.
